    Position Summary

    The Corporate Counsel is responsible for assisting the Legal & Compliance departments in the essential day to day operations of each.   This position will focus on drafting and negotiating commercial contracts and overseeing intellectual property matters.  The successful candidate will also be responsible for assisting the General Counsel and Assistant General Counsel with corporate governance, risk management initiatives, employment matters, mergers & acquisitions, and the management and oversight of Legal Department operations. This position reports to the Assistant General Counsel.

    Responsibilities

    Essential Duties and Responsibilities

    • Handle the day to day review, revision and negotiation of key contracts between the Company and commercial vendors and business partners.
    • Develop relationships with various business units and functional departments and develop understanding of their strategies and objections to better serve their needs.
    • Ensure that company form agreements and templates are up to date.
    • Assist the Company, including the medical records department, in responding to administrative and judicial requests for documents and testimony.
    • Maintain registrations and ensure timely renewals for all documents related to the Company’s intellectual property portfolio.
    • Assist the General Counsel in managing the legal affairs of the Company.
    • Assist on all major business transactions, including acquisitions, divestitures, joint ventures, partnerships, or financing/re-financing matters.
    • Develop and administer a tracking system to ensure compliance with all licensing laws in each jurisdiction in which the Company does business.

    Qualifications

    Education and Experience: The requirements listed below are representative of the knowledge, skill, and/or ability required.

    • A Bachelor’s degree required is required.
    • A JD from a reputable, accredited U.S. law school and active U.S. Bar membership required.
    • 2 – 4 years of legal experience, with a focus on commercial transactions is strongly preferred.
    • Drafting and negotiating skills and experience are critical.
    • Experience in healthcare patient services strongly preferred.
    • Pragmatic approach to problem solving and flexibility to adjust to changing requirements and priorities.
    • Proficient computer skills, including Microsoft Office.
    • Strong interpersonal skills and ability to work effectively and efficiently at all levels of the organization.

    Additional Experience: The requirements listed below are representative of the knowledge, skill, and/or ability strongly preferred.

    • Knowledge of applicable Federal, State and local regulatory agency healthcare guidelines and laws strongly preferred.

    • Ability to read, write and speak English proficiently

    • Frequently required to stand, walk, sit, use hands to feel, and reach with hand and arms
    • Occasionally lift and/or move up to 20-25 pounds
    • Fine hand manipulation (keyboarding)
